Welcome to YenBiz. These Terms & Conditions (“Terms”) govern your access to and use of the website YenBiz.com (the “Site”), and any services, features, content or applications offered by YenBiz (collectively, the “Services”). By using the Site or Services, you (“you”, “your”, “User”, “Client”) agree to be bound by these Terms and all applicable laws. If you do not agree to all of these Terms, you must not access or use the Site or Services.

1. Definitions

“Company” / “YenBiz” / “we” / “us” / “our” — Yen Biz Private Limited, a company incorporated in India (CIN: U85499TN2025PTC176268), having its registered office at No.206 Real Enclave, No.22, Josier Street, Nungambakkam, Chennai, Tamil Nadu, India, 600034.
“Client / User / You” — any individual or entity who registers for or uses the Services.
“Services” — the financial, payment, consulting, software, or related services offered via the Site (or by agreement) including but not limited to payment gateway, platform integration, business consulting, wealth/asset services, etc.
“Content” — text, graphics, images, videos, information, software, and all other material displayed or made available via the Site or Services.
“Third-party Services / Providers” — services, APIs, software, or parties outside our control which we may integrate or use in providing our Services.

2. Acceptance & Eligibility

By accessing or using the Site or Services, you affirm that you are at least 18 years old (or of legal age in your jurisdiction), and have the legal capacity to enter into contracts.
You represent and warrant that all registration information you submit is truthful, accurate, current, and complete.
You agree to maintain and promptly update your account information to keep it truthful and complete.

3. Use of Services & Restrictions

3.1 Permitted Use

You may use the Services only for purposes that are permitted by (a) these Terms, and (b) any applicable law, regulation, or generally accepted practices in the relevant jurisdictions.

We reserve the right to suspend or terminate accounts, or disable credentials, at any time if we suspect misuse or breach of these Terms.

5. Fees, Charges & Payment

Use of certain features or Services may require payment of fees. All fees, if any, will be communicated to you upfront or via agreement.
Payment terms, schedules, and modes (credit card, bank transfer, etc.) will be as laid out in the invoice or service agreement.
You agree to pay all applicable fees, taxes, duties, and charges associated with use of the Services.
Failure to pay may result in suspension, limitation, or termination of your access to some or all of the Services.

6. Intellectual Property, Content & Licenses

The Site, Services, and Content (unless otherwise indicated) are owned or licensed by YenBiz and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Services for your internal business purposes, subject to these Terms.
You retain ownership of all Intellectual Property Rights in any Content or data you submit to the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, distribute, and display such User Content as necessary to provide the Services, in accordance with applicable privacy and confidentiality terms.
You represent and warrant that you have all rights necessary (e.g. copyrights, consents) to submit User Content and that it does not infringe any third-party rights.

7. Privacy & Data Protection

Our Privacy Policy governs how we collect, use, disclose, and protect personal data. By using the Services, you consent to our data practices set out in the Privacy Policy.
You may be required to provide certain information for identity verification, KYC (Know Your Customer), AML (Anti-Money Laundering), or regulatory compliance.
We will take reasonable measures to safeguard data, but you understand that no method of transmission or storage is 100% secure.

8. Disclaimers & Warranties; No Guarantee

The Services and Content are provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory or otherwise.
We disclaim all implied warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and title.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
We do not guarantee any specific results or outcomes from using the Services.
Any information, content, or materials obtained via the Site are at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, in no event shall YenBiz, its directors, officers, employees, agents or affiliates be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of data, business interruption, or reputational harm, arising from or relating to these Terms or your use of the Site / Services, even if advised of the possibility of such damages.
Our total aggregate liability under or in connection with these Terms and your use of the Services is limited to the amount you have paid us in the prior [12] months (or, if none, an amount of INR [X]—decide an appropriate fallback), or as otherwise required by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless YenBiz, its affiliates, and their officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgements, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your breach or alleged breach of these Terms,
Your use of the Services or Site,
Your violation of any law or rights of a third party,
Your User Content, or
Any other party’s access to your account (if due to your acts or omissions).

11. Suspension, Termination & Account Cancellation

We may suspend or terminate your access (in whole or part) to the Site or Services, with or without notice, for any reason, including for violation of these Terms.
Upon termination, your account access ends, but certain provisions (e.g. indemnity, disclaimers, liability limits, surviving clauses) will continue to apply.
You may also terminate your account at any time by notifying us. Termination does not relieve you of any obligations for services already rendered, outstanding fees, or liabilities incurred.

12. Modifications & Updates to Terms

We may modify or update these Terms from time to time, at our sole discretion. If we make significant changes, we will notify you (e.g. via email or site banner). Your continued use after such notice constitutes acceptance of the updated Terms.

13. Third-Party Services, Links & Integration

The Site or Services may include links to or integrations with third-party websites, APIs, services, or content (“Third-Party Services”). These are provided for your convenience; we do not endorse or control them.
You agree that we are not responsible for the availability, accuracy, policies, or practices of any Third-Party Service.
Your interactions with third parties are solely between you and that third-party, and you agree that we are not liable for any loss or damages arising from those interactions.

14. Governing Law, Disputes & Arbitration

These Terms and any dispute arising out of or relating to these Terms or your use of the Site/Services shall be governed by and construed in accordance with the laws of India, and specifically the laws of the State of Tamil Nadu, without regard to conflicts of law principles.
Any dispute or claim arising under these Terms must be resolved exclusively via arbitration in Chennai, Tamil Nadu (or another mutually agreed location), under the rules of the Arbitration and Conciliation Act, 1996, or any successor statute.
Each party shall bear its own costs of arbitration (including legal fees), unless the arbitrator decides otherwise.

15. Notices

All notices under these Terms must be in writing and sent to the contact email or address designated by the party (e.g. for you, the email in your account; for us: [support@yenbiz.com or the email listed on the Site]).
Notice is deemed given: (a) when delivered, if by hand; (b) on the next business day, if by recognized overnight courier; (c) on the day of sending, if by email (unless bounce-back); or (d) three days after mailing by registered post (within India) if to the address of record.

16. Miscellaneous

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Waiver. No waiver of any right under these Terms is valid unless in writing. Our failure to enforce any right is not a waiver of that or any other right.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer in whole or in part.
Entire Agreement. These Terms (together with the Privacy Policy, Refund & Return Policy, any service package or agreement, and other policies referenced herein) constitute the entire agreement between you and YenBiz regarding the subject matter herein and supersede all prior or contemporaneous agreements.
Relationship. These Terms do not create any agency, partnership, joint venture, or employment relationship between you and YenBiz.
Force Majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control (e.g. natural disasters, strikes, internet outages, legal/regulatory changes).
